Why Approvals by Email Are a Governance Risk

Approving purchases or invoices through email feels like a tried and trusted process for most businesses. A request is sent, someone replies with “approved,” and the process moves forward.
It seems simple. It seems quick. And for smaller teams, it often works well enough.
But as organisations grow, what once felt convenient can quickly become a governance risk.
Email approvals create gaps in visibility, make audit preparation harder, and introduce uncertainty about who authorised what. In an environment where financial accountability and transparency matter more than ever, those gaps can become serious problems.
The Illusion of Control
Email approvals often create the appearance of a structured process without actually providing one.
A budget holder receives a request and replies with a quick confirmation. Finance records the approval and processes the invoice. On the surface, everything appears documented.
However, email chains rarely provide a complete or reliable record. Messages can be forwarded, buried in long threads, or separated from the original request entirely. Attachments may be missing. Important details about the purchase might not be visible in the approval response itself.
When the process depends on people manually interpreting email threads, the risk of misunderstanding or incomplete information increases.
What feels like control is often just a collection of disconnected conversations.
The Audit Trail Problem
One of the biggest challenges with email approvals is the lack of a clear, structured audit trail.
When auditors or leadership teams need to review purchasing decisions, they expect to see a clear sequence of events. A purchase request is created. The appropriate approver reviews it. Approval is granted. The invoice is matched and paid.
With email-based processes, reconstructing that sequence can take significant effort. Finance teams may need to search inboxes, retrieve archived threads, or piece together documentation across multiple systems.
Even when the information exists, it may not be organised in a way that demonstrates clear compliance with internal policies.
In contrast, structured approval workflows automatically record every step of the process. Each decision is logged, timestamps are captured, and documentation is stored alongside the transaction.
The difference is not just convenience. It is accountability.
Inconsistent Approvals Across Teams
Email approvals also introduce inconsistency.
Different departments may interpret approval requirements differently. Some managers provide detailed responses, while others reply with a quick “fine” or “go ahead.” In some cases, approvals are forwarded between colleagues without a clear understanding of who holds final responsibility.
Over time, these small variations create a patchwork of practices across the organisation.
For finance teams, this inconsistency makes it harder to enforce purchasing policies. It also makes it difficult to demonstrate that the same governance standards apply everywhere.
A structured workflow ensures that each purchase follows the same path, regardless of which team initiates the request. Approvals are routed automatically to the correct person, and policies are applied consistently.
The Risk of Missed Approvals
Another common problem with email approvals is that messages are easy to miss.
Approvers may overlook requests buried in busy inboxes. Approval emails may be sent while someone is on leave. Follow-ups may depend on someone remembering to chase a response.
These delays slow down the purchasing process and can lead to frustration for both staff and suppliers.
More importantly, they can create situations where purchases proceed without a properly documented approval simply because the process relies on manual follow-up.
A structured system removes this uncertainty by automatically tracking pending approvals and ensuring requests cannot move forward until the correct sign-off has been recorded.
Governance Requires Structure
Good governance depends on more than good intentions. It requires processes that are clear, consistent, and easy to verify.
Email approvals were never designed to function as a financial control system. They are a communication tool, not a governance framework.
As organisations grow and accountability expectations increase, many finance leaders are recognising that relying on inbox-based approvals introduces unnecessary risk.
Structured purchasing and accounts payable workflows provide a more reliable alternative. By centralising requests, routing approvals automatically, and maintaining a complete audit trail, they give organisations greater confidence that policies are being followed and decisions are properly documented.
Moving Beyond Inbox-Based Processes
Most organisations do not adopt email approvals deliberately. The process evolves naturally over time as teams grow and purchasing becomes more frequent.
But as operational complexity increases, that informal system often becomes one of the weakest links in financial governance.
Replacing email approvals with structured workflows does not add complexity. In many cases, it simplifies the process for everyone involved.
Requests become easier to track. Approvers receive clear notifications. Finance teams gain visibility over outstanding approvals and committed spend. And when audits or internal reviews occur, the evidence is already organised and accessible.
In a world where transparency and accountability matter more than ever, that clarity can make a significant difference.
